2. Applicability

These general terms and conditions of sale apply to all agreements between Notches and resellers of our physical products. The reseller must explicitly agree to these terms. Any deviating conditions from the buyer are only valid if confirmed in writing by us. By placing an order, the buyer explicitly agrees to the terms and conditions described herein.

3. Prices and Quotations

All prices are exclusive of VAT, except for the recommended retail price of €17.95, which includes VAT. Quotations are valid for 1 month from the date of issuance. Notches reserves the right to change prices in case of increases in raw material, transport, or production costs.

4. Minimum Retail Price and Pricing Policy

Notches applies a minimum recommended retail price (RRP) of €17.95 incl. VAT per pattern. Discount campaigns or promotions must be approved by Notches to maintain brand integrity and product value.

5. Orders and Order Confirmation

Orders must be placed through the wholesale area of our website. B2B customers can apply for a wholesale account by completing the form at the following link:

Once your application has been approved, you will receive login details for the wholesale webshop.
Please note that wholesale prices are exclusively available to verified resellers. Wholesale purchases intended for personal use are not permitted.

• Minimum order value: € 50.

• Order approval: Notches reserves the right to refuse orders in cases such as overdue payments or concerns regarding the buyer’s creditworthiness.

6. Delivery and Transport

Delivery is made according to DAP (Delivered at Place) Incoterms® 2020, unless otherwise agreed. The seller bears the risks until the agreed destination, excluding delivery costs, import duties, and taxes, which are the responsibility of the buyer.

• Delivery costs vary depending on the destination and are not included in the pattern price.

• Free delivery applies to orders of at least 36 patterns, but only for deliveries within the Benelux.

• The choice of the carrier is at the sole discretion of the seller.

7. Payment Terms

Payments for wholesale orders are made directly through the B2B webshop at the time of purchase. After payment has been received, an invoice will be sent to the customer by email. Please note that a short processing time may apply before the invoice is issued.

Orders are prepared and shipped once payment has been received. Shipping is carried out via a carrier chosen by Notches, unless the buyer requests to use their own carrier. In that case, Ex Works (EXW) conditions apply.

Any additional transaction fees related to specific payment methods remain at the buyer’s expense.

8. Volume Discounts

Volume discounts apply per order only and may include different designs in one order (minimum of 5 pieces per design).

• It is not possible to combine purchases or multiple orders over time to qualify for a higher discount tier.

• Each order is calculated individually based on the number of items ordered.

9. Retention of Ownership

The goods remain the property of Notches until full payment has been received and they have been delivered to the agreed destination.

10. Complaints and Returns

• Complaints about received products must be reported in writing via registered mail or email (B2B@notchespatterns.com) within 14 calendar days of receipt.

• Products must be returned in their original, unopened condition within this period.

• Returns are only accepted for incorrect, defective, or damaged products.

• The customer is responsible for the direct return shipping costs.

• Only items in original packaging with all accessories, manuals, and proof of purchase can be returned.

• If a returned product is devalued due to use beyond what is necessary to assess its characteristics and functionality, Notches reserves the right to claim compensation.

• Transport damage must be reported to the carrier, and the buyer must provide photographic evidence.

11. Liability

Notches is not liable for damages caused by incorrect use. Our liability is limited to direct damages resulting from the sale of the pattern, up to the invoice value of the sold product.

• The (commercial and/or statutory) warranty does not cover defects resulting from accidents, negligence, falls, misuse, failure to follow instructions, modifications, rough handling, poor maintenance, or other abnormal use.

• Defects occurring after 6 months from the purchase or delivery date are presumed not to be hidden defects, unless the customer proves otherwise.

12. Force Majeure

Notches is not liable for delays or non-delivery due to force majeure, such as strikes, natural disasters, pandemics, supplier issues, etc.

13. Non-Payment and Bankruptcy

• If a customer does not pay within 30 days, the order is automatically canceled.

• If a customer declares bankruptcy before payment, Notches has the right to reclaim the goods if they are not fully paid for.

• In case of late or non-payment, the customer will be charged a default interest of 10% per year on the unpaid amount, plus a fixed compensation of 10%, with a minimum of €25 per invoice.

14. Governing Law and Jurisdiction

• All agreements with Notches are governed by Belgian law.

• Disputes shall be settled by the competent courts of Kortrijk.

• If any provision of these terms is deemed invalid, illegal, or void, the validity and enforceability of the remaining provisions shall not be affected.

• Failure by Notches to enforce any right under these terms shall not be construed as a waiver of that right.

15. Updates to the Terms and Conditions

These General B2B Terms and Conditions, dated October 15, 2025, may be updated by Notches at any time.
By placing an order, the buyer automatically agrees to the latest version of these terms.
If there are discrepancies between these B2B terms and conditions and those on our website, these B2B terms prevail.
